This Guest Contribution Agreement (“Agreement”) governs all content submitted to Las Vegas News LLC, a subsidiary of Las Vegas Newspaper LLC (collectively, “Las Vegas News,” “Publisher,” “we,” “us,” or “our”).
By submitting content to Las Vegas News, you (“Contributor,” “you”) acknowledge that you have read, understood, and agree to the terms below.
1. PURPOSE OF SUBMISSION
Las Vegas News accepts guest submissions for possible publication, including articles, commentary, informational content, and other written materials (“Content”).
Submission of Content does not guarantee publication, placement, compensation, or timing.
2. NO EMPLOYMENT OR CONTRACTUAL RELATIONSHIP
Contributor acknowledges and agrees that:
- This Agreement does not create an employment relationship
- This Agreement does not create an independent contractor relationship
- Contributor is not entitled to wages, benefits, royalties, residuals, or ongoing compensation unless explicitly agreed to in writing by Las Vegas News
3. EDITORIAL DISCRETION
Las Vegas News retains sole and absolute editorial discretion.
We may, at our discretion:
- Accept or reject Content for any reason
- Edit, shorten, rewrite, summarize, or adapt Content
- Modify headlines, formatting, images, and placement
- Publish Content with or without attribution
- Decide publication timing or remove Content after publication
No obligation exists to publish any submitted Content.
4. GRANT OF RIGHTS & LICENSE
By submitting Content, Contributor grants Las Vegas News a perpetual, irrevocable, worldwide, royalty-free, exclusive license to:
- Publish, reproduce, distribute, display, edit, adapt, translate, archive, and otherwise use the Content
- Create derivative works from the Content
- Publish the Content across all current and future platforms, including websites, mobile apps, newsletters, email distributions, syndication feeds, social media, search platforms, and third-party partners
This license survives termination of this Agreement.
5. OWNERSHIP & ATTRIBUTION
- Contributor waives any claim to ownership, moral rights, or mandatory attribution once Content is submitted
- Attribution, if provided, is at the sole discretion of Las Vegas News
- Las Vegas News may remove or alter attribution at any time
Contributor may not republish the Content elsewhere without prior written consent.
6. ORIGINALITY & REPRESENTATIONS
Contributor represents and warrants that:
- The Content is original and not plagiarized
- The Content does not infringe any copyright, trademark, or proprietary right
- The Content is accurate to the best of Contributor’s knowledge
- The Content does not contain defamatory, unlawful, or misleading statements
Contributor agrees to indemnify and hold harmless Las Vegas News LLC and Las Vegas Newspaper LLC from any claims arising from a breach of these representations.
7. DISCLOSURE OF CONFLICTS & PAID PLACEMENTS
Contributor agrees to disclose:
- Any conflicts of interest
- Any financial, professional, or personal relationships related to the Content
- Whether the submission is intended as a paid or sponsored placement request
Las Vegas News reserves the right to:
- Decline paid or sponsored submissions
- Require clear “Sponsored” or “Paid Placement” disclosures
- Determine final disclosure language and placement
Payment, if any, does not guarantee publication.
8. COMPENSATION (IF ANY)
Unless expressly agreed to in writing:
- No compensation is owed for guest submissions
- No royalties or residual payments will be made
If compensation is agreed:
- Payment is contingent upon acceptance and publication
- Payment terms are determined solely by Las Vegas News
9. CONFIDENTIALITY
Contributor agrees not to disclose:
- Editorial discussions or decisions
- Internal workflows or review notes
- Communication with editors or staff
This obligation survives termination and publication.
10. NON-DISPARAGEMENT
Contributor agrees not to publicly disparage Las Vegas News LLC, Las Vegas Newspaper LLC, their brands, staff, editorial decisions, or operations.
11. TERMINATION
Las Vegas News may terminate this Agreement at any time, with or without cause.
Termination does not affect rights already granted for submitted or published Content.
12. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties regarding guest contributions and supersedes all prior discussions or agreements.
By submitting Content, you acknowledge that you have read and agree to this Guest Contribution Agreement.
